These terms and conditions of use are entered into by and between you and Springer USA, Inc., including, if applicable, our subsidiaries and affiliates, (“Springer,” “we,” or “us”).  The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, the “Terms”), govern your access to and use of <https://www.springer-usa.com/>, our mobile applications for IOS and Android, and any other website owned or operated by Springer, including any content, functionality, and services offered through any of the foregoing (collectively, the “Website”), whether as a guest or a registered user.

Please read the Terms carefully before you start to use the Website. By using the Website, you accept and agree to be bound and abide by these Terms. If you do not want to agree to these Terms, you must not access or use the Website.
 
Our website is not intended for children under the age of 18.  We will not knowingly collect personally identifiable information via the Website from visitors in this age group and will take prompt steps to delete any such personally identifiable information. This Website is offered and available to users who are 18 years of age or older. By using this Website, you represent and warrant that you are of legal age to form a binding contract with Springer and meet all of the foregoing eligibility requirements. Springer uses security measures to protect against unauthorized access to registered accounts. However, no security measures are perfect and you agree that Springer is not responsible for any failure of such security measures to prevent unauthorized access to an account. You agree to observe all security features on the Website and not to disable or circumvent any security features or devices.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.


Waiver and Severability
If any provision in these Terms is held invalid, illegal, or unenforceable for any reason, the remaining provisions shall remain effective to the fullest extent permitted by applicable law.

No waiver by Springer of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Springer to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless it is set forth in writing and signed by Springer.


Indemnification
You agree to defend, indemnify, and hold harmless Springer, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website, including, but not limited to, your User Contributions, any use of the Website's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Website.


Injunctive Relief  
You acknowledge and agree that because the violation, breach, or threatened breach of these Terms would result in immediate and irreparable injury to Springer, Springer shall be entitled, without limitation of remedy, to (i) temporary and permanent injunctive and other equitable relief restraining you from activities constituting a violation, breach, or threatened breach of these Terms to the fullest extent allowed by law, and (ii) all such other remedies available at law or in equity, including, without limitation, the recovery of damages.


Governing Law and Jurisdiction
All matters relating to the Website and these Terms, and any matter, dispute or controversy arising out of or related thereto will be governed by South Carolina law, excluding its conflicts of law principles, and the provisions of the 1980 United Nations Convention on the International Sale of Goods (“UNCISG”) are expressly excluded.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the state and federal courts located in Greenville, South Carolina, and such courts will constitute the sole and exclusive judicial forum(s) and venue and, therefore, will have sole and exclusive jurisdiction over the adjudication and resolution of any and all matters, disputes and controversies arising out of or related to these Terms or your use of the Website.  You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.


Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
